Terms of Service

Effective date: July 19, 2026

These Terms of Service ("Terms") govern your access to and use of the payment processing services provided by Harbour Payments LLC ("Harbour," "we," "us," or "our"). By applying for, accessing, or using our services, you agree to be bound by these Terms.

1. Description of Services

Harbour provides payment processing, transaction reporting, and related merchant services that enable businesses to accept card and bank payments online, in person, and via recurring billing.

2. Merchant Obligations

You agree to provide accurate business and identity information, comply with applicable card network rules and law, maintain adequate records, and promptly notify us of any change in your business, ownership, or the nature of goods and services sold.

3. Fees & Billing

Fees for our services are described in your merchant agreement or pricing plan. Fees may be deducted directly from settlement funds. We will provide notice of any material change to fees in advance.

4. Prohibited Uses

You may not use our services for illegal transactions, prohibited or restricted business categories under card network rules, or in a manner that we reasonably believe presents excessive fraud or credit risk.

5. Card Network & Regulatory Compliance

Our services are provided in connection with card network rules and applicable banking regulations. You agree to comply with these rules as they apply to your use of our services, including rules relating to chargebacks, refunds, and data security.

6. Suspension & Termination

We may suspend or terminate your access to our services if you breach these Terms, present unacceptable risk, or as required by law or card network rules. You may terminate your account at any time subject to your merchant agreement.

7. Limitation of Liability

To the fullest extent permitted by law, Harbour will not be liable for indirect, incidental, or consequential damages arising from your use of our services. Our aggregate liability is limited as set forth in your merchant agreement.

8. Indemnification

You agree to indemnify and hold Harbour harmless from claims arising out of your use of our services, your breach of these Terms, or your violation of applicable law.

9. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
